1. Acceptance & Parties to this Agreement
These Terms of Service (“Terms” or “Agreement”) constitute a legally binding agreement between you (“Studio Owner,” “Creator,” “You,” or “User”) and StudioOS (“StudioOS,” “we,” “our,” or “us”). By accessing, registering for, or using the StudioOS platform, including our website, web cockpit, client portals, API routes, or related services (collectively, the “Platform”), you certify that you have read, understood, and unconditionally agree to be bound by these Terms.
If you are opening an account or executing workflows on behalf of a production company, partnership, wedding studio, or agency, you represent and warrant that you possess full legal authority to bind that entity to these Terms. You must be at least 18 years of age (or the legal age of majority in your jurisdiction) to establish a StudioOS workspace. StudioOS is strictly a commercial business operating system and is not directed to individuals under 18. Where photography deliverables depict minors, you warrant that you have obtained lawful parental or guardian consent.
2. Neutral Software Infrastructure Provider (Safe Harbor Immunity)
StudioOS is strictly a specialized cloud software infrastructure and workflow automation provider. StudioOS is not a creative agency, video production company, photography studio, publisher, content producer, or talent agency.
StudioOS does not pre-screen, verify, curate, monitor, or exercise editorial control over any photographs, video files, raw camera offloads, audio stems, audio beds, font assets, client notes, or contractual scope documents uploaded, linked, stored, or transmitted through the Platform. StudioOS operates as a neutral intermediary entitled to all applicable statutory safe harbor immunities under international copyright and telecommunications legislation (including, without limitation, Section 512 of the DMCA and Section 79 of the Information Technology Act).
3. Account Security & Workspace Credential Responsibility
You are exclusively responsible for maintaining the strict confidentiality of your authentication credentials, login email addresses, one-time passcodes (OTP), and two-factor authentication tokens. You accept 100% legal and financial responsibility for all activities, actions, proposals generated, invoices dispatched, and media uploaded under your workspace.
You agree to notify StudioOS immediately upon discovering or suspecting any unauthorized breach, lost credentials, or compromised access to your account. StudioOS shall not be liable for any losses or damages caused by any unauthorized use of your credentials.
4. Studio Content Ownership & Limited Platform License
You retain 100% full intellectual property ownership of all photographs, cinema footage, master deliverables, audio tracks, studio branding, logos, client rosters, and quotation data that you upload, link, or process through StudioOS (“Studio Content”). StudioOS makes no claim of copyright or proprietary ownership over your artistic work.
To enable StudioOS to host, transcode, generate responsive proxies, process checksum verifications, and stream your media to your authorized clients, you grant StudioOS a worldwide, non-exclusive, royalty-free, revocable license strictly and exclusively to host, copy, cache, encode, and transmit your Studio Content solely for the technical execution of platform features on your behalf.
AI-Generated Media & Algorithmic Suggestions: If you upload or incorporate AI-generated imagery, synthetic portraits, voice clones, or background audio into client deliverables, you warrant that you possess all necessary commercial licenses from the underlying model providers and have obtained proper consent for any recognizable personal likenesses. To the extent StudioOS provides algorithmic or machine-assisted copy drafts, scheduling calculations, or pricing formulas, such outputs are operational suggestions provided without warranty of originality. StudioOS makes no claim of copyright over machine-generated drafts, and you remain exclusively responsible for verifying their factual accuracy and legal suitability before publishing or dispatching to clients.
5. Studio 100% Sole Content Liability & Copyright Warranty
The Studio Owner and its authorized collaborators explicitly warrant, certify, and guarantee that:
- You possess all legal copyrights, proprietary licenses, trademark permissions, and commercial rights for every visual image, video reel, logo, and design asset uploaded to StudioOS storefronts, proposal links, and client review galleries.
- Your Studio Content does not infringe upon, misappropriate, or violate the copyright, trademark, patent, trade secret, moral right, privacy right, or right of publicity of any third party.
- You have secured valid, signed model releases, client agreements, and venue authorizations for all recognizable persons, wedding couples, commercial talent, and private locations depicted in your media.
- StudioOS bears zero legal, regulatory, or financial liability for any copyright infringement, trademark violation, or unlicensed media distributed by studios.
6. Music & Audio Synchronization Rights Warranty
Commercial music tracks, commercial sound beds, and film score recordings utilized within teaser trailers, wedding highlight films, reception videos, or proofing portals are 100% solely the legal licensing obligation of the Studio.
StudioOS does not provide commercial synchronization licenses, master use licenses, or mechanical rights for third-party commercial music. You warrant that all background tracks incorporated into your video deliverables are licensed via legitimate music licensing platforms (such as Musicbed, Artlist, Marmoset) or public domain agreements. You shall hold StudioOS completely harmless from any music publisher or statutory copyright infringement actions.
7. Client Proposals, Quotations & Direct Payments
StudioOS provides calculation engines, quote builders, and milestone invoice tools. All contracts, service agreements, wedding packages, and commercial agreements formed using StudioOS documents are strictly direct bilateral agreements between the Studio Owner and their respective Client. StudioOS is not a party to any studio-client contract.
StudioOS does not hold, escrow, or transmit client funds. All monetary transactions are processed directly between the Studio and third-party payment gateways (e.g. Razorpay, Stripe, UPI, or direct bank transfer). StudioOS assumes zero liability for fee disputes, cancellations, shoot weather delays, or chargebacks.
8. Strict Prohibition of Platform Misuse & Reverse Engineering
You agree that you shall NOT:
- Upload or distribute content that is unlawful, defamatory, sexually explicit, abusive, or harmful to minors.
- Use automated bots, scrapers, crawlers, or extraction tools to harvest data, contact information, or images belonging to other studios or wedding clients.
- Decompile, reverse-engineer, disassemble, or attempt to extract the source code or proprietary pricing algorithms of StudioOS.
- Resell, sublicense, white-label, or redistribute access to the StudioOS application infrastructure to third parties.
- Attempt to bypass or tamper with multi-tenant row-level security or rate limits.
9. Subscription Billing, Upgrades & Cancellation
Subscription tiers are billed on a recurring monthly or annual basis as designated upon checkout. You may cancel your subscription at any time from your account settings under Billing. Upon cancellation, your subscription remains active until the end of the current billing cycle, after which your account reverts to standard free tier limits.
Our complete subscription cancellation rules, 7-day money-back guarantee for first-time annual subscriptions, and digital service delivery timelines are detailed in our standalone Cancellation & Refund Policy, which is incorporated by reference into these Terms.
10. Account Deletion & Data Retention
You may request complete deletion of your workspace and account records at any time via our self-serve Privacy & Data Rights Portal. Upon verified deletion request, all active database records, team assignments, and media references are permanently removed from active tables immediately.
System encrypted disaster-recovery backups are purged in rolling 30-day cycles, after which no residual copies exist.
11. Professional Advice Disclaimer (No Legal, Tax, or Accounting Advice)
StudioOS provides workflow automation, quote pricing calculators, milestone payment schedules, and sample agreement clauses for administrative and operational convenience only. StudioOS is NOT a law firm, Chartered Accountant (CA), Certified Public Accountant (CPA), or tax advisory service.
No calculations, invoice layouts, tax percentage fields, or contract terms generated by StudioOS constitute legal, financial, accounting, or tax advice. You are solely responsible for consulting qualified independent legal counsel and licensed tax practitioners in your jurisdiction to verify the legal enforceability of your wedding contracts and statutory tax compliance (such as Goods and Services Tax / GST) for your studio.
12. Warranty Disclaimer (“AS IS”)
StudioOS IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. TO THE FULLEST EXTENT PERMISSIBLE BY APPLICABLE LAW, STUDIOOS EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
StudioOS DOES NOT WARRANT THAT THE SOFTWARE WILL BE 100% UNINTERRUPTED, BUG-FREE, OR SECURE AGAINST ZERO-DAY CYBER THREATS, NOR DOES IT WARRANT THAT MEDIA FILES WILL NEVER SUFFER LOSS OR CORRUPTION. STUDIOS ARE STRONGLY ADVISED TO ADHERE TO THE 3-2-1 OFFLOAD STANDARD AND MAINTAIN DEDICATED PHYSICAL HARD DRIVE COPIES OF ALL CAMERA RAW FOOTAGE.
12. Comprehensive Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL STUDIOOS, ITS FOUNDERS, OFFICERS, EMPLOYEES, AFFILIATES, OR INFRASTRUCTURE PARTNERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING DAMAGES FOR LOST PROFITS, REVENUE LOSS, LOSS OF BUSINESS REPUTATION, SHOOT CANCELLATION EXPENSES, OR LOSS OF DATA, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
IN NO EVENT SHALL THE TOTAL AGGREGATE LIABILITY OF STUDIOOS ARISING OUT OF OR RELATING TO THIS AGREEMENT EXCEED THE TOTAL AMOUNT ACTUALLY PAID BY YOU TO STUDIOOS FOR PLATFORM ACCESS IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO LIABILITY.
13. Full Legal Indemnification of StudioOS
You agree to defend, indemnify, and hold completely harmless StudioOS, its founders, operators, affiliates, licensors, and suppliers from and against any and all claims, demands, liabilities, damages, losses, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to: (a) your Studio Content or media; (b) your violation of these Terms; (c) your violation of any third-party copyright, music license, trademark, or privacy right; or (d) any dispute between you and any wedding client, couple, contractor, or crew member.
14. Changes to these Terms
We reserve the right to revise these Terms from time to time. When material updates are enacted, we will update the version number and effective date at the top of this document, and require confirmation via the platform login prompt. Your continued use of StudioOS after notification constitutes acceptance of the modified Terms.
